Terms of Service

1. Acceptance of Terms

By creating an account or using OrbaPro ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including contractors, their employees, and anyone else who accesses the Service.

2. Description of Service

OrbaPro is a business management platform for contractors that provides tools for creating estimates, sending invoices, tracking jobs, managing customers, and accepting payments. The Service is provided on a subscription basis with a free tier and paid plans.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old to use the Service.

You may not share your account with others or create multiple accounts for the purpose of circumventing plan limits.

4. Subscriptions and Payment

Paid plans are billed monthly. By subscribing, you authorize OrbaPro to charge your payment method on a recurring basis. All fees are in US dollars and are non-refundable except as required by law.

You may cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period; you retain access until then.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Free Plan Limits

The Free plan is subject to usage limits (currently 1 customer, 2 estimates, and 2 invoices). We may adjust Free plan limits at any time with reasonable notice. Exceeding limits will prompt you to upgrade.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Send fraudulent estimates or invoices
  • Attempt to gain unauthorized access to other accounts or systems
  • Reverse engineer, decompile, or copy any part of the Service
  • Use the Service to process payments for illegal goods or services
  • Resell or white-label the Service without written permission

7. Your Data

You retain ownership of all data you enter into OrbaPro, including customer information, estimates, and invoices ("Your Data"). By using the Service, you grant OrbaPro a limited license to store and process Your Data solely to provide the Service.

We do not sell Your Data to third parties. See our Privacy Policy for details on how we handle your data.

8. Third-Party Services

OrbaPro integrates with third-party services including Stripe (payments), Plaid (bank verification), and others. Your use of these integrations is subject to the respective third-party terms of service. OrbaPro is not responsible for the acts or omissions of third-party service providers.

9. Intellectual Property

OrbaPro and its logos, software, and content are owned by OrbaPro and protected by copyright and other intellectual property laws. Nothing in these Terms grants you any rights to use OrbaPro trademarks or branding without prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ORBAPRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE. YOU ARE RESPONSIBLE FOR ENSURING YOUR USE OF THE SERVICE COMPLIES WITH APPLICABLE LAWS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBAPRO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ORBAPRO IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ORBAPRO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or any other reason with reasonable notice. You may delete your account at any time. Upon termination, your right to access the Service ceases and we may delete Your Data after a reasonable retention period.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.
